Disclosure Decoder #011: Samsung Biologics' smaller rights offering leaves KRW 336bn of spending to its own funds

The Filing

Samsung Biologics (DART 00877059) filed an amended material-event report on 1 October 2026, correcting its original 28 August 2026 rights offering decision report. The amendment reflects the setting of the first-round indicative issue price and updates the reference to the prospectus filing date.

What It Literally Says

The amendment makes two substantive changes. First, the fund-use table is revised: the facility-investment line of KRW 295bn (~$216M) is removed, and the acquisition-of-securities-in-other-companies line moves from KRW 2,706bn (~$1,986M) to KRW 2,665bn (~$1,956M), cutting the total stated use from KRW 3,001bn (~$2,203M) to KRW 2,665bn (~$1,956M). Second, the first-round indicative price for common shares is set at KRW 1.174mn (~$862) per share, down from the earlier indicative figure of KRW 1.322mn (~$970). The final price determination date remains 4 November 2026. All other terms of the offering are unchanged: 2,270,000 new common shares, par value KRW 2,500 (~$1.84), rights-offering with public offer of unsubscribed shares, record date 6 October 2026, subscription dates 9 to 10 November 2026 for existing shareholders and 12 to 13 November 2026 for the public, payment date 17 November 2026, and listing of new shares on 30 November 2026.
