Disclosure Decoder #009: Hyundai Mobis Spins Off Lamp Unit for Full Sale to OPmobility

The Filing

Hyundai Mobis (KRX: 012330) filed a major-event report on 30 September 2026 disclosing a board resolution to spin off its automotive lamp division into a new, unlisted, wholly owned company, Hyundai Mobis Lamp Co., Ltd. (tentative name), by a simple physical spin-off. The same board meeting approved transferring all of those shares to OPmobility SE. The filing says the share purchase agreement follows that approval; the companies announced the same day that it was signed. The lamp operations of the overseas subsidiaries are outside the spin-off and are to be sold to the buyer's side alongside it.

What It Literally Says

The spin-off date is 1 April 2027. On a 31 December 2025 basis, the new company starts with assets of KRW 541.5bn (~$399.5M), liabilities of KRW 165.5bn (~$122.1M) and equity of KRW 376.0bn (~$277.4M); the lamp division's latest annual revenue was KRW 1.02tn (~$754M). Dissent notices run 9 to 23 November, the shareholders' meeting is on 24 November, and appraisal claims run 24 November to 14 December at KRW 408,394 (~$301) per share. The board may withdraw the spin-off if appraisal claims exceed KRW 230bn (~$170M). The filing gives no sale price. Outside the filing, the two companies announced a price of KRW 600bn (~$443M) for the whole lighting business, overseas plants included.
