THE FILING

WHAT IT LITERALLY SAYS

The first recorded completed execution: shares to be cancelled revised down from 3,811,944 to 3,581,623 common shares; cancellation amount from KRW 600,000,000,000 (~$405.8M) to KRW 599,999,968,200 (~$405.8M); buyback end date pulled forward from 20 July to 16 July. The second changed one field, the cancellation date, previously blank, now 23 December 2026, subject to coordination with relevant authorities.

Purchases ran open-market from 24 April to 16 July, brokered by KB Securities. Shares outstanding: 354,687,734. All seven outside directors attended the April vote. Cancellation proceeds under Commercial Act Article 343(1), which reduces share count but not stated capital.

WHAT IT ACTUALLY MEANS

KB bought 230,321 fewer shares than the April estimate, a ~6.0% shortfall against a projection built on the 22 April reference price of KRW 157,400 (~$106), because the stock traded above that baseline.

That is not a miss. Execution landed KRW 32 short of KRW 600B (~$405.8M). A program managed to a share-count target would have spent more as the price rose; this one did not. KB committed capital rather than shares, and deployed all of it.

WHY A FOREIGN INVESTOR SHOULD CARE

Korean financials have long drawn skepticism for buying back stock and warehousing it as treasury, available later for affiliate deals or reissue. Retirement separates capital return from a paper gesture. KoreaAlpha's Follow-Through Score for KB is 99/100.
